About the Role

We are seeking a highly skilled Senior Paralegal to join our dynamic legal team at Hinge Health. In this role, you will support our legal department by managing complex legal projects, conducting thorough legal research, and ensuring compliance with regulatory requirements. You will report to the General Counsel and work closely with cross-functional teams, including Compliance, Finance, and People, to provide comprehensive legal support. This position is crucial in helping us navigate the legal and regulatory landscape, mitigate risks, and contribute to the overall success of the company.

What You’ll Accomplish

Corporate Governance & Board Support:

  • Draft and maintain key corporate records, including board and committee meeting minutes, resolutions, and executive summaries.

  • Assist in the preparation of board and committee meeting materials, agendas, and governance books.

  • Assist in updating and maintaining governance documents, including charter documents, corporate policies, and procedures.

  • Prepare and review D&O Questionnaires and coordinate with relevant teams on director independence analysis and related person transaction reviews.

SEC Reporting Support:

  • Assist in the preparation and review of SEC filings, including, but not limited to, Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.

  • Support periodic and ad-hoc regulatory reporting and related internal processes.

  • Work with internal and external stakeholders to ensure compliance with listing requirements and other securities law obligations.

Compliance & Risk Management:

  • Support Sarbanes-Oxley (SOX) compliance, including document production and internal audit requirements.

  • Assist with internal audits, shareholder engagement efforts, governance surveys, and regulatory inquiries.

  • Manage and update corporate policies and procedures to ensure compliance with legal and regulatory standards.

Cross-Functional Collaboration & Special Projects:

  • Partner with Investor Relations, Accounting, People, and Equity teams on various corporate legal matters and projects.

  • Work with other functions and teams on an ad hoc basis to support key initiatives related to healthcare compliance, regulatory licensing and international expansion..

  • Assist in document management and production for litigation, subpoenas, and regulatory requests.

Hinge Health Hybrid Model

We believe that remote work and in-person work have their own advantages and disadvantages, and we want to be able to leverage the best of both worlds. Employees in hybrid roles are required to be in the office 3 days per week, for the full 8 hours of a typical business day. The San Francisco office has a dog-friendly workplace program.

Basic Qualifications

  • 6+ years of paralegal experience, including 2+ years in corporate governance, securities compliance, or SEC reporting at a public company

  • Experience preparing SEC filings (10-K, 10-Q, 8-K, proxy statements, Section 16)

  • Expertise in corporate governance, board support, and entity management

  • Experience with SOX compliance, audits, and risk management

Preferred Qualifications

  • Paralegal certification from an accredited institution

  • Familiarity with securities regulations, listing standards, and exchange compliance

  • Proficiency in legal document management systems

  • Experience in healthcare, digital health, or technology industries with a strong understanding of privacy laws (HIPAA, GDPR, CCPA)

  • Familiarity with compliance programs, regulatory filings, and risk management in a corporate environment

  • Notary Public certification

Compensation

This position will have an annual salary, plus equity and benefits. Please note the annual salary range is a guideline, and individual total compensation will vary based on factors such as qualifications, skill level, competencies, and work location. The annual salary range for this position is $112,000 - $168,000.
